Each Client agrees to indemnify, defend, and hold harmless MWeds, its affiliates, officers, directors, employees, agents, and representatives (collectively, “MWeds Indemnitees”) from and against any and all losses, liabilities, damages, costs, expenses, claims, suits, or demands (including reasonable attorney’s fees and costs) (collectively, “Losses”) that arise out of or are related to:
a. Any breach by the Client of its representations, warranties, or obligations under these Terms of Service.
b. Any negligence, wilful misconduct, or fraudulent act or omission by the Client or its employees, agents, or subcontractors in the use or application of the services provided by MWeds.
c. Any violation of applicable laws, rules, or regulations by the Client in connection with its business activities.
Limitation of Liability
Neither party shall be liable to the other for any indirect, incidental, or consequential damages arising out of or in connection with this Agreement, except in cases of gross negligence or wilful misconduct. A reasonable cap on indemnity liability may apply, not exceeding the total amount paid for the services.
Notice of Claim
The party seeking indemnification under this Agreement shall promptly notify the other party in writing of any claim or action that may trigger an indemnification obligation.
9. Limitation of Liability
To the fullest extent permitted by Irish law, MWeds excludes all warranties and liabilities relating to the use of its website and services. This includes:

These Terms & Conditions (“Terms”) govern (1) use of the MWeds website and digital services and (2) recruitment services provided by MWeds Limited to Employer Clients and Candidates/Jobseekers. By accessing the Site or engaging with our Services, you agree to these Terms.
Sections 9–12 apply primarily to use of the Site. All other sections apply to recruitment services.

“Candidate” / “Jobseeker” means an individual whose details are processed by MWeds for recruitment purposes.
“Employer Client” means an organisation that engages MWeds to provide recruitment services.
“Introduction” means the introduction of a Candidate to an Employer Client by MWeds, whether directly or indirectly.
“Placement” means the commencement of employment of a Candidate with an Employer Client following an Introduction.
“Services” means recruitment services provided by MWeds, including permanent/direct-hire recruitment and retained search where agreed in writing.
“Site” means the MWeds website and any related online pages, forms, or portals.
MWeds does not charge Candidates or Jobseekers any fee or expense for registration, interviewing, assessment, placement, or for agreeing to seek employment.
All recruitment fees are payable solely by Employer Clients in accordance with an agreed Statement of Fees and/or written recruitment engagement.
MWeds provides recruitment services to Employer Clients for permanent/direct-hire placements.
Retained or executive search services may be provided where expressly agreed in writing.
MWeds does not provide temporary staffing or agency worker supply services unless expressly agreed under separate written terms.
Employer Client fees, payment triggers, guarantees, and related commercial terms are set out in MWeds’ Statement of Fees and/or a written recruitment engagement agreement. In the event of a conflict, the written recruitment engagement agreement shall prevail.
Invoices are payable in accordance with the payment terms agreed in writing.
Overdue invoices may accrue interest and recovery costs in accordance with the European Communities (Late Payment in Commercial Transactions) Regulations 2012, as amended.
Any replacement guarantee applicable to a Placement, including eligibility conditions and time limits, will be set out in the applicable Statement of Fees or recruitment engagement agreement.
MWeds does not charge Candidates or Jobseekers any recruitment or placement fees.
Where official government fees are required (including visa fees, work permit fees, or processing fees), MWeds may facilitate payment on behalf of a Candidate or Employer Client where agreed.
Such fees are official charges set by a government authority and are not MWeds fees. MWeds does not guarantee the outcome, timing, or approval of any visa, permit, or immigration application.
Candidates must provide accurate, complete, and up-to-date information, including qualifications, employment history, and eligibility to work.
Candidates must promptly notify MWeds of any changes to availability, immigration status, or contact details.
MWeds reserves the right to suspend or discontinue recruitment services where inaccurate, misleading, or incomplete information is provided.
MWeds does not guarantee that any vacancy will remain available, that any Candidate will be interviewed or hired, or that any Employer Client will proceed with a role. Vacancies may be amended, suspended, or filled at any time.
The Site is provided for lawful, personal, and non-commercial use unless otherwise agreed in writing.
Users must not misuse the Site, attempt unauthorised access, introduce malware, or interfere with Site functionality.
MWeds may restrict or suspend access to the Site where misuse, security risk, or unlawful activity is suspected.
All intellectual property rights in the Site, branding, and materials are owned by MWeds or its licensors unless otherwise stated.
Candidate CVs and profiles are provided solely for the purpose of evaluating candidates for employment and must not be shared, copied, or reused without MWeds’ prior written consent.
The Site may contain links to third-party websites or services. MWeds is not responsible for third-party content, availability, or privacy practices.
MWeds takes reasonable measures to protect the Site and information processed through it. However, the Site is provided on an “as is” basis and may be unavailable, interrupted, or subject to errors.
Users are responsible for maintaining adequate security measures on their own systems and devices.
MWeds processes personal data in accordance with applicable data protection laws. Details of how personal data is collected and used are set out in the MWeds Recruitment Services Privacy Notice, which forms part of these Terms.
To the fullest extent permitted by law, MWeds shall not be liable for any indirect, consequential, or economic loss, including loss of profit, business, or opportunity, arising from use of the Site or provision of the Services.
MWeds’ total liability in respect of any claim arising out of or in connection with the Services shall be limited to the recruitment fees paid by the Employer Client to MWeds in respect of the relevant Placement.
Nothing in these Terms limits or excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.
MWeds may suspend or terminate Services where these Terms are materially breached, where unlawful activity is suspected, or where continued provision of Services would expose MWeds to legal or regulatory risk.
MWeds may update these Terms from time to time. Updated Terms will be published on the Site with a revised effective date. Continued use of the Site or Services constitutes acceptance of the updated Terms.
These Terms are governed by the laws of Ireland. The Irish courts shall have exclusive jurisdiction, subject to any mandatory legal provisions.
